Terms of Service

These Terms of Service (the "Agreement") are an agreement between THERAPY EXPRESS LTD. ("Therapy Express," "us," "our," or "we") and you ("User," "you," or "your"). This Agreement sets forth the general terms and conditions of your use of Therapy Express's website, platform, and services, including live and recorded continuing education ("CE") workshops for mental health professionals (collectively, the "Services").

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use our Services. Some Services, including CE workshops, may be limited to licensed or credentialed professionals.

2. Use of Services

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and professional licensing requirements. You are solely responsible for ensuring that any CE credits obtained meet the requirements of your licensing or certification board.

3. Account Registration

To access certain Services, you may be required to create an account. You agree to provide accurate and complete information and to keep your login credentials secure. You are responsible for all activity under your account.

4. Purchases, Payments, and Refunds

All fees for workshops, courses, or other paid Services must be paid in full at the time of purchase unless otherwise agreed. Therapy Express may offer refunds in accordance with our posted refund policy. Prices and availability are subject to change without notice.

5. CE Credit Disclaimer

Therapy Express makes reasonable efforts to ensure courses meet state and professional board requirements. However, you are solely responsible for verifying acceptance of CE credits with your licensing or certification authority before registering for a course.

6. Intellectual Property Rights

All content provided through the Services, including but not limited to text, video, graphics, logos, and course materials, are owned by or licensed to Therapy Express and are protected by intellectual property laws. Except as explicitly permitted, you may not reproduce, distribute, or create derivative works of any content obtained through our Services.

7. User Conduct

You agree not to:

• Misuse the Services for unlawful or fraudulent purposes.
• Share or distribute course materials, recordings, or login information without authorization.
• Disrupt or interfere with the functioning of the Services or other users' participation.

8. Third-Party Links and Partners

The Services may include links to third-party websites, affiliates, or partners. Therapy Express does not endorse or assume responsibility for any third-party content, services, or policies.

9. Disclaimers and Limitation of Liability

The Services are provided "as is" without warranties of any kind, express or implied. Therapy Express does not guarantee that the Services will be uninterrupted, error-free, or that CE credits will always be accepted by your professional board.

To the maximum extent permitted by law, Therapy Express shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of income, data, or professional opportunities, arising from use of the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Therapy Express, its officers, employees, affiliates, and partners from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of this Agreement, or your infringement of third-party rights.

11. Presenter Content & Marketing Rights

By presenting, teaching, or otherwise participating in a live or recorded workshop hosted by Therapy Express, you grant Therapy Express and its affiliates and partners a worldwide, royalty-free, perpetual, non-exclusive, transferable license to:

• Record, reproduce, distribute, display, and publicly perform your presentation (in whole or in part) in any format, including live streams, video, and audio recordings.
• Market, advertise, and promote the live and/or recorded version of your workshop across all platforms, including but not limited to Therapy Express websites, email, social media, and third-party platforms.
• Sell, license, or otherwise provide access to the live and/or recorded version of your workshop indefinitely, either as a standalone product or as part of Therapy Express's course catalog, subscription programs, bundled offerings, or partner distributions.
• Share and distribute your recorded workshop through Therapy Express's affiliates, partners, and distribution networks.
• Create derivative works for the limited purpose of marketing, accessibility (e.g., captions, transcripts, promotional clips), or adaptation to different delivery formats.

You retain ownership of your original presentation content, subject to the license granted above. Therapy Express is under no obligation to use, market, or continue to distribute any workshop recording.

12. Presenter Release of Likeness

By participating in any workshop hosted by Therapy Express, you grant Therapy Express and its affiliates and partners the irrevocable right and permission to use your name, professional title, likeness, image, voice, and biographical information in connection with:

• The live delivery, recording, and distribution of the workshop;
• Marketing, advertising, and promotion of the live and/or recorded version of the workshop;
• Inclusion in Therapy Express's catalogs, course listings, newsletters, social media, and partner platforms.

This release applies worldwide, in all media formats now known or later developed, and for an indefinite duration. You waive any right to royalties or other compensation arising from such use.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

14. Termination

Therapy Express may suspend or terminate your access to the Services at any time for violation of this Agreement, unlawful conduct, or other misuse of the platform. Sections relating to intellectual property, indemnification, limitation of liability, and presenter rights shall survive termination.

15. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be submitted to binding arbitration before the Business Halacha Institute (BHI). The parties agree to abide by the rules and procedures of BHI and accept the arbitrators' decision as final and binding.

16. Modifications

Therapy Express may update or modify these Terms of Service at any time. Updated terms will be posted on the website, and your continued use of the Services constitutes acceptance of the changes.
